Terms & Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Northbridge Marketing website (the "Site") and any marketing services provided by Northbridge Marketing ("Northbridge," "we," "us," or "our"). By accessing the Site or engaging our services, you agree to be bound by these Terms.

1. Services

Northbridge offers professional marketing services described in defined service packages and individual written proposals. The specific scope, deliverables, timelines, and pricing applicable to any engagement are set forth in a separate written service agreement ("Service Agreement") executed between Northbridge and the client. In the event of a conflict between these Terms and a Service Agreement, the Service Agreement controls.

2. Acceptance of Engagement

Submission of a contact form, request for proposal, or other inquiry does not create a binding engagement. An engagement begins only when a Service Agreement has been signed by both parties and any required initial payment has been received.

3. Fees and Payment

Fees for services are stated in the applicable Service Agreement. Unless otherwise agreed, invoices are payable within fifteen (15) days of issuance. Late payments may be subject to reasonable administrative fees and may result in suspension of services. All fees are stated in U.S. dollars and exclude applicable taxes.

4. Client Responsibilities

The client agrees to provide timely access to information, materials, approvals, and personnel reasonably required for Northbridge to perform the services. Delays caused by the client may extend timelines and, in some cases, affect deliverables.

5. Intellectual Property

Subject to full payment of all fees, Northbridge assigns to the client ownership of final deliverables created specifically for the client under the applicable Service Agreement. Northbridge retains ownership of its pre-existing materials, methodologies, templates, and know-how, and grants the client a non-exclusive license to use such materials solely as embedded in the deliverables.

6. Confidentiality

Each party agrees to keep confidential any non-public information received from the other party in connection with the engagement and to use such information only for the purpose of performing or receiving the services.

7. Representations and Disclaimers

Northbridge will perform services in a professional and workmanlike manner consistent with industry standards. Marketing outcomes depend on many factors outside our control, and we do not guarantee any specific business result, ranking, traffic level, or revenue. Except as expressly stated in a Service Agreement, services and Site content are provided "as is" without warranties of any kind.

8. Limitation of Liability

To the fullest extent permitted by law, Northbridge's total cumulative liability arising out of or related to an engagement will not exceed the fees paid by the client to Northbridge for the specific services giving rise to the claim during the three (3) months preceding the event. Neither party is liable for indirect, incidental, special, or consequential damages.

9. Termination

Either party may terminate a Service Agreement as provided in that agreement. Upon termination, the client will pay Northbridge for all services performed and expenses incurred through the effective date of termination.

10. Governing Law

These Terms and any Service Agreement are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The parties agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that cannot be resolved informally.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
